Mr. Tan founded the Firm on September 1, 1988, soon after obtaining his LLM from the New York University. In over three decades of practice, the Firm has since grown into a mid-size full practice firm, specializing in corporate, securities, tax property development laws, and of late, energy and government procurement laws.
For his part, Mr. Tan distinguished himself in the areas of Securities and Corporations, his primary field of expertise, frontlining to date the Initial Public Offering of more than 20 companies. He has also handled and supervised various mergers and acquisitions, investments, corporate structuring, registration of securities with the Securities and Exchange Commission, listing of companies with the Philippine Stock Exchange, tender offers, and compliance with regulatory requirements for public companies. He also currently sits as Director and/or Corporate Secretary in a number of companies.
Among his notable accomplishments in the field are: The Initial Public Offering of businesses ranging from international remittance, information technology and software development, oil exploration and mining, real estate development, banking, industrial manufacturing, and hotels and leisure destinations; The development of world class golf and country clubs, and related exclusive, high-end residential enclaves; Acquisition by a leading thrift bank of a bank; and Advising a foreign multinational company on its hydro-power project in the Philippines.
Aside from being a member of the Integrated Bar of the Philippines, Atty. Tan is also a member of the International Bar Association where he was the country representative for the Philippines. He also represents the Firm in the Network of Leading Law Firms, a United States-based affiliation of international law firms, of which the Firm is the exclusive member for the Philippines.
Mr. Tan received his Bachelor of Laws from the University of the Philippines College of Law in 1980, where he graduated ninth in his class and a member of the Order of the Purple Feather. He ranked sixth in the Philippine Bar examinations. He graduated Class Valedictorian and a Medalist for Academic Excellence in 1976 from San Beda College where he earned his Bachelor’s Degree in Political Science.

RIO SESINANDO E. VENTURANZA

Mr. Venturanza is an expert in Housing and Property Law. Over 35 years of experience in litigation and corporate law has seasoned him in dealing with cases and projects from this and related fields. He is a pioneer in setting out particular condominium structures for property development, including the horizontal residential condominium project in Tagaytay Highlands. His Mining and Public Utilities Law practice has also made him a veteran in conducting legal due diligence, preparing agreements between private contractors and government agencies, and advising clients on various issues relating to their compliance with governmental requirements.
Among his extensive achievements in the profession are: Preparing conveyance, lease, and mortgage instruments; Drafting of joint venture and development agreements; Devising a master deed with declaration of restrictions, deed of restrictions, house rules and regulations, articles of incorporation and by-laws of homeowners’ association.
Mr. Venturanza is a member of the board of directors of Palm Concepcion Power Corporation, Inc., Peakpower Energy Inc., Peakpower Bukidnon Inc., Peakpower SanFrancisco Inc., and Peakpower Socsargen Inc. He also sits as the Corporate Secretary of Sta. Clara International Corp., Parkwise Philippines Inc., Professional Parking Management Corp., Meridian Securities Inc., Red Dragon Culinary Concepts Inc. and Valley Golf and Country Club Inc.
It was in 1983 that Mr. Venturanza gained admission to the Philippine Bar. In the preceding year, he earned his Bachelor of Laws degree from the University of the Philippines College of Law. He also holds a Bachelor of Arts degree in Economics from the said University.

ENRICO G. VALDEZ

Mr. Valdez is the Firm’s expert in Tax Law. Apart from being a member of the Integrated Bar of the Philippines, he is also a member of the Philippine Institute of Certified Public Accountants. He currently sits as the Chairman of the Tax Law Committee of the Inter Pacific Bar Association where he formerly held the Vice Chairman post. He was also previously a Director of the Tax Management Association of the Philippines.
In his almost three decades of legal practice, Mr. Valdez has: Always won cases before the Court of Tax Appeals; Represented one of Asia’s premier property companies before the Court of Tax Appeals and was favored with a resolution granting the refund of erroneously paid Final Withholding Tax in the amount of over P21,000,000.00.
Prior to passing the Bar Examinations in 1987, Mr. Valdez was already a Certified Public Accountant, finishing within the Top 25 of the 1983 examinees.
He earned his Bachelor of Laws from the Ateneo de Manila University and his Bachelor of Science in Business Administration and Accountancy from the Philippine School of Business Administration. He was conferred his master’s degree in Business Administration by the University of the Philippines in 1996.

HOSANNA T. AYSON

Ms. Ayson has over two decades of experience in litigation that rendered her an expert in Intellectual Property Law, Real Property Law and Family Law.
She is a registered trademark and patent attorney who handled numerous infringement and unfair competition suits as well as opposition and cancellation proceedings. She also handles the drafting, reviewing and registration of licensing agreements. Ms. Ayson also expanded her areas of practice to include corporation law, corporate organization, and dissolution. She sits as the Corporate Secretary of a number of domestic corporations.
Among Ms. Ayson’s notable accomplishments in the legal field are: Representing a party in a landmark trademark infringement and unfair competition suit where the Supreme Court held, among others, that “pilsen” is a descriptive word and therefore the use thereof by a later user does not constitute trademark infringement; Prosecuting opposition proceedings on behalf of one foreign trademark owner before the Intellectual Property Office (IPO) which granted the oppositions and denied the applications for registration of trademarks bearing the dominant mark “Prudential”; and Prosecuted the defenses of respondents in trademark opposition proceedings that resulted in Philippine trademark registrants being declared as the rightful owners in this jurisdiction, one example of which is the trademark “Spyder.”
Ms. Ayson has also completed the training programs on the Madrid Protocol conducted by the IPO. She was an ASEAN Overseas Training Scholar who attended the Intellectual Property Rights – Management Training Program in Tokyo, Japan sponsored by the Japan Patent Office and Japan Institute of Invention and Innovation in June-July 1997. She is the current Trustee and founding member of the Intellectual Property Alumni Association, Inc. She is also a member of the Intellectual Property Association of the Philippines, the U.P. Women Lawyers’ Circle, and the U.P. Portia Sorority Alumnae, Inc.
Ms. Ayson earned her Bachelor of Laws degree from the University of the Philippines. She received her Bachelor of Arts degree in Journalism from the same University.

RENO R. GONZALES, JR.

Mr. Gonzales is a veteran in Litigation practice. Prior to joining the Firm in 2002, he was the managing partner of R. Gonzales & Associates Law Offices and Gonzales Palaña & Ortega Law Offices. He has also been an associate in two other law offices in his early years of practice. His track record is also marked with experience in public service as a Special Counsel to the Presidential Commission on Good Government. This involvement with the government sphere is further appended by his years as a Legal Consultant in the House of Representatives and in the Pasig City Legal Office. He served too as an Associate Solicitor in the Office of the Solicitor General.
Mr. Gonzales’s vast experience in the field include: Representing and assisting clients in obtaining a favorable resolution of their cases before the various Trial Courts, National Labor Relations Commission, and other quasi-judicial bodies; Appealing cases of defendant clients before the Court of Appeals or the Supreme Court; and Drafting pleadings for different client cases.
Mr. Gonzales is also a volunteer lawyer of DSWD’s Child Justice League. Formerly, he was also a member of the Philippine Children’s Medical Center Institutional Review Board-Ethics Committee. He holds membership too in the Philippine Bar Association, Inc. and the Rotary Club of Midtown Quezon City.
Mr. Gonzales was admitted to the Philippine Bar on May 1991. In the preceding year, he earned his Bachelor of Laws from the University of the Philippines College of Law. He obtained his Bachelor of Arts in Philosophy from the same University. In 2008, Atty. Gonzales completed the academic units for his master’s degree in Bioethics from UP College of Social Sciences and Philosophy.
Outside his practice, Mr. Gonzales is also an esteemed lecturer at Adamson University on the subjects of Special Proceedings and Criminal Procedure. He is also a Paralegal Lecturer at the University of the Philippines Diliman on the module discussing Procedure for Small Claims Cases.

Mr. Nalupta is proficient in Corporation and Securities Laws. He has supervised projects involving the registration of various forms of securities with the Philippine Securities and Exchange Commission and the listing of companies with the Philippine Stock Exchange. He also ensures and oversees the compliance with all regulatory reportorial obligations of the Firm’s clients that are public or listed companies. He likewise supervises the legal due diligence exercises customarily undertaken preparatory to corporate acquisitions, mergers, or other corporate combinations. He dispenses advice to both foreign and domestic clients on local investment rules and corporate structuring. Mr. Nalupta also has extensive exposure to litigation practice. He has handled civil and administrative cases before regular trial courts and various administrative agencies.
Among Mr. Nalupta’s significant projects are: The Initial Public Offering of the shares of Macondray Plastics, Inc., Highlands Prime Leisure Properties, Inc. (now, Highlands Prime, Inc.), Jolliville Holdings Corporation, SuperCity Realty Development Corporation, Pacific Online Systems Corporation, i-Remit, Inc., Touch Solutions, Inc., Coal Asia Holdings Corporation, Yehey! CONRAD S. TOLENTINO

Mr. Tolentino has extensive experience in Energy law owing to his involvement in the disposal of several government power assets. He has supervised the management of contracts and the resolution of issues with independent power producers, successor generator companies or buyers of government power plants, government regulators, electricity off-takers, fuel suppliers, and other industry participants.
His practice also includes managing government procurement and contracts, from the planning and contract preparation up to the bidding and contract award stages, at the government agencies he worked for.
He clerked for the former Supreme Court Chief Justice Hilario G. Davide, Jr., under whose term he likewise served as deputy of the then newly created Public Information Office. Concurrently, he served as the deputy of the Program Management Office which coordinated with international cooperation agencies for the implementation of judicial reform projects. Since joining the private sector some three years back, he has also been handling general corporate work.
Mr. Tolentino was admitted to the Philippine Bar in 1996. In the preceding year, he earned his Bachelor of Laws degree from the University of the Philippines College of Law. He received his Bachelor of Arts degree in Communication, Major in Journalism and graduated Cum Laude from the same University.

ANNA FRANCESCA C. RESPICIO

Ms. Respicio specializes in Corporation and Securities Law, and Taxation. She has advised on mergers, acquisitions, and corporate restructuring for both local and international clients. Her work includes advising on proposed acquisitions of companies, conducting due diligence and preparation of the necessary contracts and agreements. She has likewise handled initial public offerings, which included drafting of portions of the prospectus, registration of securities, and the listing of such securities in the Philippine Stock Exchange.
She currently sits as corporate secretary for a number of corporations with secondary licenses and as part of her corporate servicing duties, Ms. Respicio handles corporate housekeeping, general legal queries, disclosure requirements and compliance with reportorial requirements with the Securities and Exchange Commission, Philippine Stock Exchange, and Bangko Sentral ng Pilipinas for several listed or registered corporations, and for one of the country’s fastest growing savings banks.
She has also assisted in several real estate transactions which required legal documentation and the conduct of due diligence for both the buyer and seller, including the sale of a P14-Billion property.
Ms. Respicio obtained her degrees in Philosophy in 2007 and Law in 2011 from the Ateneo de Manila University. Ms. Respicio also passed the Real Estate Brokers Licensure Examination in 2015.

Ms. Lorenzo is a Partner at the Firm and a member of the Corporate Department.
Ms. Lorenzo has extensive experience in the fields of securities, commercial transactions, corporate housekeeping, and tax law. She handles initial public offerings, listing of shares with the Philippine Stock Exchange and due diligence for corporate and/or property acquisitions. As the Corporate Secretary or Assistant Corporate Secretary for several publicly-listed and/or reporting corporations, she advises clients on disclosures, compliance and reportorial requirements of government and regulatory agencies. Ms. Lorenzo also handles tax matters, including corporate tax concerns, estate tax and estate planning.
